Acceptance and Modification

1. Thank you for visiting ConnectorLocal.com. Please read the terms and conditions of use (the "Terms of Use") set forth below carefully as they contain the legal terms that govern your use of any website or web page operated or provided (collectively, the "Site") by We-Create Inc. ("We-Create"). These Terms of Use may be modified by We-Create from time to time in its sole discretion, so please frequently return to the Terms of Use to review them. Your use of the Site means that you accept any and all changes. If you do not agree with any of the terms and conditions, you must discontinue using the Site.

2. Subject to these Terms of Use, you may use the Site as a "Visitor" (which means you are just browsing the Site) or a "Registered Member" (which means you have registered as a member of the Site). Visitors may register their identifying information and become a Registered Member. As a Registered Member, you may have a personalized profile page consisting of content and services that you develop, manage and maintain and such other functionality made available to you on the Site.

3. The Site is operated in the Canada in the province of Ontario. We-Create does not represent that content or materials presented on the Site are appropriate or available for use in other locations or jurisdictions. If you access the Site from a jurisdiction other than Canada, you agree that you do so on your own initiative, and are responsible for compliance with local laws.

Registered Member Passwords / Account Access

5. If you are a Registered Member, you are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account with or without your knowledge. You agree to immediately notify We-Create of any unauthorized use of your password or account or any other breach of security. We-Create cannot and will not be liable, directly or indirectly, for any loss or damage arising from your failure to comply with this section.

6. As a Registered Member, you agree that We-Create may, in its sole discretion, immediately terminate your We-Create account and access to the Site without prior notice. Without limiting the foregoing, the following will lead to a termination by We-Create of your use of the Site: (a) breaches or violations of these Terms of Use or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account cancellations), (d) unexpected technical issues or problems, and (e) extended periods of inactivity. Further, your We-Create account may be deleted and your membership may be terminated without warning, if we believe that you are under 13 years of age.

7. You agree that We-Create shall not be liable to you nor any third-party for any termination of your account or access to the Site.

Copyright

8. All copyright rights in the text, images, photographs, graphics, user interface, and other content provided on the Site, and the selection, coordination, and arrangement of such content, are owned by We-Create, or its third-party licensors, to the full extent provided under the Canadian copyright laws and all international copyright laws. Under applicable copyright laws, you are prohibited from copying, reproducing, modifying, distributing, displaying, performing, storing in any retrieval system or transmitting any of the contents of the Site for any purposes. Nothing stated or implied on the Site confers on you any license or right under any copyright of We-Create or any third-party.

9. The Site and the information contained therein is for informational purposes only. Any reproduction, distribution, display, performance, copying, or redistribution for commercial purposes of any materials or design elements of the Site without the prior written consent of We-Create is strictly prohibited. Systematic retrieval of data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from the We-Create Network is also prohibited.

Trade and Service Mark Rights

10. All rights in the product names, company names, trade names, logos and designs of We-Create or third-party products or services, whether or not appearing in large print or with the trademark symbol, belong exclusively to We-Create or their respective owners, and are protected from reproduction, imitation, dilution or confusing or misleading uses under national and international trademark and copyright laws, as applicable. The use or misuse of these trademarks or any materials, except as permitted herein, is expressly prohibited and nothing stated or implied on this Site confers on you any license or right under any patent, copyright or trademark of the We-Create or any third party.

License to use Your Content

11. While We-Create does not claim ownership of any information or material that you transmit, distribute, post, communicate or store on, to or through the Site ("Your Content") (expressly excluding your user data and personal information, which is collected in accordance with our Privacy Policy), we do require certain rights to Your Content in order to operate the Site.

12. By submitting or posting Your Content, to or through the Site, you grant We-Create a world-wide, royalty free, perpetual, irrevocable and non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display Your Content anywhere, for any purpose, and in any form, media or technology now known or later developed and you waive all moral rights in relation thereto. No compensation will be paid with respect to the use of Your Content. We-Create shall be entitled to use Your Content you submit to the Site without compensation or obligation to you.

13. You acknowledge that there is no relationship of any type created, including without limitation any agency, or fiduciary relationship, as between you and We-Create, by virtue of the submission by you of Your Content to the Site and We-Create hereunder.

14. We-Create is free to use any ideas, concepts, know-how, or techniques contained in Your Content for any purpose whatsoever including, but not limited to, posting, publishing or using Your Content on the Site. You acknowledge and agree that We-Create shall own all rights, title and interest worldwide to any derivative work, modifications, enhancements, and improvements to Your Content made by We-Create ("Derivative Work"), its employees and affiliates, including all copyrights and other intellectual property rights therein and all renewals and extensions thereof, in all formats and media, whether now known or hereafter developed, to publish, display, perform, distribute, reproduce, digitize, transmit, translate, modify the Derivative Work and any derivative works thereof, for all or any purposes.

15. We-Create is under no obligation to maintain any of Your Content and may remove any of Your Content from the Site at any time in its sole discretion.

16. By posting or submitting Your Content to the Site, you represent and warrant that you own, have a license to or otherwise control all of the rights to Your Content, and that use of Your Content by We-Create will not infringe or violate the rights of any third-party or constitute violation of any applicable law. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any of Your Content posted by you to or through the Site.

17. You shall not have any right to terminate the permissions granted herein, nor to seek, obtain, or enforce any injunctive or other equitable relief against We-Create, all of which such rights are hereby expressly and irrevocably waived by you in favour of We-Create.

18. You hereby expressly and irrevocably release and forever discharge We-Create, its parent, subsidiary, affiliated and associated companies, and their directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns of and from any and all actions, causes of action, suits, proceedings, liability, debts, judgments, claims and demands whatsoever in law or equity which you ever had, now have, or hereafter can, shall or may have, for or by reason of, or arising directly or indirectly out of, We-Create's use of Your Content.

Conduct

19. The Site is a community oriented service. Please remember that anything that you post here is your own responsibility and we expect you to take utmost care to ensure that it remains friendly, courteous, respectful of others and is compliance with these Terms of Use.

20. You are required to comply with all applicable laws in connection with your use of the Site and such further limitations as may be set forth below and in any written or on-screen notice from We-Create. You may not use the Site for any purpose that is unlawful or prohibited by the terms and conditions or that harms We-Create, its affiliates, its service providers, suppliers or customers.

21. When using or contributing to the Site you agree not to:

    1. Post, upload, email or otherwise transmit any:

       1. Posts or messages that are defamatory, slanderous, libelous, harassing or abusive;

       2. Pornographic or sexually explicit posts, messages, images or other content;

       3. Posts or messages that abuse any person or group based on racial, ethnic or religious affiliation, national origin, physical disability or sexual orientation;

       4. Posts or messages that are likely to leave other users feeling harassed, threatened, bullied, stalked, intimidated or abused, or their privacy invaded;

       5. Posts or chat messages that promote or endorse any activity that is illegal or offensive;

       6. Posts or messages that contain, or contain links to, files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of our computer systems or those of any user;

       7. "Spam", advertising or promotion of commercial services or products and or attempts to fundraise or solicit money from any other members or visitors to the Site;

       8. Content that infringes the rights of a third party (including but not limited to copyrights, trademarks, patents, rights of privacy and trade secrets); and

       9. Posts or messages that contain hyper-links to other sites that contain content that falls within the descriptions set forth above.

22. You further agree not to: use any incomplete, false or inaccurate biographical information or other information for purposes of registering as a Registered Member, or for purposes of registering for any promotions offered through the Site; delete or revise any material or other information of any other user of the Site; harvest, collect, or send information about others, including e-mail addresses, without their consent; take any action that imposes an unreasonable or disproportionately large load on the Site's infrastructure; use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any activity being conducted on this Site; use or attempt to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Site to harvest or otherwise collect information to be used for any commercial purpose; allow any other person or entity to use your username or password for posting or viewing comments or sending or receiving materials; or attempt to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Site.

23. You acknowledge and additionally agree to the following:

    1. You may not post, transmit, link to, or otherwise distribute any information, materials or content that does not generally pertain to the designated topic or theme of the particular forum or chat room.

    2. We reserve the right to stop any conduct that restricts or inhibits the community of members from fully utilizing and enjoying the Site.

    3. We reserve the right to act to delete any and all material that contravenes any of the Terms of Use or which may otherwise have a negative impact on the safe, respectful, legal, friendly and courteous operation of the Site.

    4. In accordance with our Privacy Policy, we reserve the right to disclose any information, including your identity, as necessary to satisfy any legal, regulatory or other governmental request.

24. We-Create reserves the right (but does not have the obligation) to review postings on the Site, to remove any postings, and to terminate your ability to post to the Site at any time without notice, in its sole discretion. We-Create also reserves the right to disclose any information necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part.

Interactive Features: Forums and Chat

25. When participating in any forum, chat or other interactive service available on the website (each a "Forum"), never assume that people are who they say they are, know what they say they know, or are affiliated with whom they say they are affiliated. We-Create and/or its affiliates and licensors cannot be responsible for the content or accuracy of any information, and will not be responsible for any reliance or decisions made based on such information.

26. When using a Forum, you may not post, transmit, link to, or otherwise distribute any information, materials or content that do not generally pertain to the designated topic or theme of the particular Forum. Use of a Forum for commercial purposes of any kind is strictly prohibited. Please note that We-Create reserves the right to refuse to post or to remove any information or materials, in whole or in part, that, in its sole discretion, are unacceptable, undesirable, or in violation of these Terms of Use.

27. Use of and/or participation in connection with any Forum shall indicate your acceptance of these Terms of Use.

Directory and Classified Listings

28. You acknowledge and agree that your correspondence or business dealings with any third parties, including any merchants or advertisers, found on, or through, the Site, including payment for and delivery of related goods and services, and all other terms, conditions, representations and warranties related to such dealings, are solely as between you and such third parties. We-Create assumes no responsibility whatsoever for any charges you or any user of your account incurs when making purchases or other transactions in this manner. Further, the responsibility for ensuring compliance with all applicable laws in connection with any such transactions will be yours alone. You agree that We-Create will not be responsible or liable in any way for any loss or damage of any kind incurred as a result of, or in connection with, any such dealings or transactions.

29. It is forbidden to use the Site to sell counterfeit or stolen merchandise or products infringing upon copyrights, patents, trade secrets, property rights or any other rights, including rights to confidentiality of third parties. It is also forbidden to sell illegal products, products that go against accepted moral standards or restricted products such as prescription drugs. Furthermore, it is forbidden to promote a website whose activities may be in competition with our own.

30. Ads placed on the Site are posted immediately, then subsequently reviewed by us. Ads that do not respect our acceptance criteria will be removed from the Site and the advertiser will be notified.

31. We reserve the right to modify the text of an ad to ensure that its content conforms to our standards. We also reserve the right to reclassify ads to ensure they are placed in the most appropriate section.

Responsibility for Minors

32. In cases where you have authorized a minor to use the Site, you recognize that you are fully responsible for:

    1. the online conduct of such minor;

    2. controlling the minor's access to and use of the Site; and

    3. the consequences of any misuse by the minor.

    You acknowledge that some of the areas of the Site may contain content that is inappropriate for minors. You acknowledge that We-Create has no obligation to monitor the Site.

Links to other websites or other resources which are not created or controlled by We-Create ("Linked Sites") are intended for convenience only. We-Create does not endorse or accept responsibility for any Linked Sites or resource you may access through the Site. Linked Sites are wholly independent from We-Create, we therefore have no control over any products, services, materials, or other information contained in or available through Linked Sites. The quality and dependability of Linked Sites may vary as they are updated or altered. Linked Sites are to be accessed at your own risk, and We-Create makes no representations or warranties about the content, completeness or accuracy of these Linked Sites, hyper-links to Linked Sites or the websites hyper-linked to this Site.

Indemnity

34. You agree to indemnify and hold We-Create, its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors, and contractors (the "Indemnified Parties") harmless from any breach of these Terms of Use by you, including any use of Your Content other than as expressly authorized in these Terms of Use. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and reasonable legal fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of the information accessed from this Site.

Disclaimer of Warranties

35. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

Limitation of Liability

37. Governing Law

40. These Terms of Use shall be governed by and construed and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada as applicable. Each party hereby irrevocably agrees to submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, without regard to the conflicts of laws principles and to waive any objections based upon venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms of Use.

General

41. These Terms of Use constitute the entire agreement between We-Create and you pertaining to your use of the Site and, except as specifically set forth herein, supersede any prior agreements between you and We-Create relating to the Site. We-Create may assign these Terms of Use, in whole or in part, at any time. We-Create's failure to insist upon or enforce strict performance of any right or provision of the Terms of Use shall not constitute or be construed as a waiver of any right or provision. If any of the provisions (or parts thereof) contained in the Terms of Use are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions (or parts thereof) contained herein.
